1. Acceptance of Terms

Welcome to ReplyType. By accessing or using our AI-powered creative writing platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

ReplyType is a creative writing platform that uses artificial intelligence to assist users in generating, editing, and enhancing written content. The Service includes:

• Multiple AI-powered writing modes (Auto, Deep, Chat, Choice, Creative, Easy, Write)
• Text generation, editing, and analysis tools
• Image generation for story illustrations
• Audio narration and text-to-speech
• Video generation capabilities
• Document export in multiple formats
• Team collaboration features
• World-building tools (Story Bible)

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 13 years old to create an account. If you are under 18, you must have parental consent to use the Service.

4. Subscription Plans and Credits

4.1 Plans

We offer the following subscription plans:

• Free: 100 credits upon signup, access to basic writing modes
• Pro: Monthly credit allocation, priority processing, all features
• Business: Enhanced credits, team collaboration, API access

4.2 Credits

Credits are used to access AI-powered features. Different operations consume different amounts of credits. Credits are non-transferable and have no cash value. Unused credits do not roll over to the next billing period unless otherwise specified.

4.3 Billing

• Paid subscriptions are billed in advance on a monthly basis
• You authorize us to charge your payment method for subscription fees
• All fees are exclusive of taxes unless otherwise stated
• Prices may change with 30 days' notice

4.4 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months or unused credits
• Refunds may be considered on a case-by-case basis for technical issues that prevented service use

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create content depicting sexual exploitation of minors or non-consensual sexual content
• Generate content that promotes violence, terrorism, or hate speech
• Impersonate any person or entity or misrepresent your affiliation
• Infringe on intellectual property rights of others
• Generate malware, phishing content, or content designed to harm computer systems
• Spam, scrape, or abuse the Service in ways that degrade performance
• Attempt to bypass rate limits, credit systems, or other technical restrictions
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to compete with ReplyType or create derivative products

We reserve the right to suspend or terminate accounts that violate these guidelines without refund.

6. Content Ownership and Rights

6.1 Your Content

You retain all ownership rights to the content you create using the Service ("User Content"). By using ReplyType, you grant us a limited license to:

• Store and display your content to provide the Service
• Process your content through AI systems to provide requested features
• Create backups for data protection purposes

This license terminates when you delete your content or close your account, except for content shared in team projects or backups retained for legal compliance.

6.2 AI-Generated Content

Content generated by AI through the Service is provided for your use. You may use, modify, and publish AI-generated content. However:

• AI-generated content may not be unique and similar content could be generated for other users
• We do not guarantee that AI-generated content is free from factual errors, plagiarism, or copyright issues
• You are responsible for reviewing and editing AI-generated content before publication
• For commercial use of AI-generated content, you should conduct appropriate due diligence

6.3 Our Intellectual Property

The Service, including its software, design, features, and documentation, is owned by ReplyType and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.

7. AI Model Usage

The Service uses third-party AI models from Anthropic (Claude), OpenAI (GPT-4, DALL-E), and Google (Gemini, Veo). By using AI features, you acknowledge:

• AI outputs may contain errors, biases, or inappropriate content
• AI models have content filters that may refuse certain requests
• Response quality and availability depend on third-party providers
• We do not use your content to train AI models
• AI features are provided "as is" without warranty of specific outcomes

8. Team and Collaboration Features

For team accounts and collaboration features:

• Team administrators are responsible for managing member access and permissions
• Content shared in team projects may be accessible to all team members based on their roles
• Team owners are responsible for ensuring team members comply with these Terms
• Removing a team member does not automatically delete their contributions

9. Disclaimers and Limitations

9.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYTYPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReplyType and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

11. Termination

We may terminate or suspend your account and access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• For non-payment of subscription fees
• At our discretion with notice for any reason

Upon termination, your right to use the Service ceases immediately. You may export your content before termination. We may retain certain information as required by law or for legitimate business purposes.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve disputes informally.
• Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
• Jurisdiction: You agree to submit to the exclusive jurisdiction of courts located in Delaware for any disputes.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and ReplyType regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign our rights to any successor entity.
• Notices: We may provide notices via email or through the Service.
